Terms of Service

1. Acceptance of Terms

By accessing or using Lyrinox Market (the "Platform"), operated by Lyrinox Technologies ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Platform as a seller. By using the Platform as a seller, you represent and warrant that you meet these requirements. If you are under 18 but over 13 years of age, you may use the platform solely as a buyer with parental consent. Lyrinox Technologies reserves the right to request such permission in writing from a parent and/or guardian.

3. Platform Fee Structure

Lyrinox Market charges a platform fee on each completed sale. Fees are deducted automatically at the time of payout via Stripe Connect. The current fee structure is as follows:

• Platform Fee Rate Platform fees range from 3% to 9% per transaction based on seller tier, as determined by the seller scoring model. New and unverified sellers are subject to the standard rate of 9%.

We reserve the right to adjust the fee structure at any time with 30 days' notice posted to the Platform. Continued use of the Platform after a fee change constitutes acceptance of the new rates. Stripe's standard payment processing fees apply separately and are not included in the platform fee.

4. Seller Scoring Model

Sellers on the Platform are evaluated through an automated scoring model that considers factors including, but not limited to:

• Sales volume and revenue history
• Customer ratings and review quality
• Refund and dispute rates
• Account age and activity consistency
• Response time and customer service quality
• Policy compliance history

Seller scores influence product visibility, search ranking, eligibility for reduced platform fees, and access to advanced seller features. Scores are recalculated periodically and are at our sole discretion. We do not guarantee any particular score or ranking.

5. Prohibited Content

The following types of content are strictly prohibited on the Platform:

• Illegal content — any content that violates applicable local, national, or international law
• Pirated software or media — software, games, music, film, or other works distributed without authorization from the rights holder
• Stolen digital goods — keys, accounts, credentials, or digital assets obtained through unauthorized means
• Malware and malicious code — any software designed to harm, exploit, or gain unauthorized access to systems or data
• Counterfeit goods — products falsely represented as genuine branded items
• Content that infringes intellectual property rights of any third party

We reserve the right to remove any content we determine, in our sole discretion, violates these prohibitions or is otherwise harmful to the Platform or its users.

6. Seller Certification and Content Rights

By uploading any product, file, image, description, or other content to the Platform, you expressly certify and warrant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to upload, distribute, sell, and advertise the content
• The content does not infringe upon the intellectual property, privacy, publicity, or other rights of any third party
• You have the legal authority to enter into these Terms and grant us the rights described herein
• All product descriptions, screenshots, and marketing materials are accurate and not misleading

You retain ownership of your content. By uploading content, you grant Lyrinox Technologies a non-exclusive, worldwide, royalty-free license to host, display, and distribute your content solely for the purpose of operating the Platform.

7. Account Suspension and Termination

We reserve the right to suspend, restrict, or permanently delete any account at any time, for any reason, with or without notice. Reasons may include, but are not limited to:

• Violation of these Terms or any Platform policy
• Uploading prohibited content
• Fraudulent, abusive, or harmful behavior
• Excessive refund requests or chargebacks
• Any activity we determine, in our sole discretion, to be detrimental to the Platform, its users, or Lyrinox Technologies

Upon account termination, your right to access the Platform ceases immediately. We are not obligated to provide a reason for termination and are not liable for any loss resulting from account suspension or deletion. Any pending payouts may be withheld pending investigation at our discretion. Withheld payouts will be released within 90 days to the seller if no fraud is determined, or forfeited if fraud or Terms violations are confirmed.

8. Refunds and Disputes

All sales are final unless the product is materially misrepresented or defective. Buyers may open a dispute within 14 days of purchase. We will review disputes and issue refunds at our sole discretion. Sellers are subject to chargebacks and refunds deducted from their Stripe Connect balance.

9. Intellectual Property

The Platform, including its design, code, branding, and non-user content, is the exclusive property of Lyrinox Technologies and is protected by copyright, trademark, and other applicable laws. You may not copy, reproduce, or distribute any part of the Platform without our prior written consent.

10. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by law, Lyrinox Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including lost profits, data loss, or service interruptions.

11. Governing Law

These Terms are governed by the laws of the Province of Saskatchewan, Canada. Any dispute must first be submitted to binding arbitration before any court action may be initiated. Should arbitration fail to resolve the dispute, the parties agree that venue and jurisdiction shall be determined by Lyrinox Technologies.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms on the Platform. Material changes will be communicated with a notice on the Platform. Your continued use of the Platform following any change constitutes acceptance of the new Terms.
