Seller Terms of Service

1. Acceptance of Seller Terms

These Seller Terms of Service ("Seller Terms") apply when you register as a seller, list products, upload files, receive payouts, or otherwise use seller features on Lyrinox Market. These Seller Terms supplement the general Terms of Service and Privacy Policy.

2. Seller Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to sell on Lyrinox Market. If you sell on behalf of a company or organization, you represent that you have authority to bind that entity to these Seller Terms. Seller features may require account verification, Stripe Connect onboarding, approved API access, product review, or other checks before products can be listed, sold, licensed, or paid out.

3. Ownership and Marketplace License

You do not transfer ownership of your software, product files, trademarks, copyrights, source code, documentation, artwork, or other seller-owned materials to Lyrinox Market or Lyrinox Technologies Inc. by listing a product on the Platform.

For as long as a product is listed on Lyrinox Market, you grant Lyrinox Technologies Inc. a non-exclusive, worldwide license to host, store, reproduce as needed for technical operation, display, market, distribute, deliver, provide access to, collect one-time or recurring payment for, process refunds or chargebacks for, administer subscriptions and license status, and otherwise operate marketplace services for that product.

This marketplace license exists only to operate Lyrinox Market and provide the listed product to buyers, unless another written agreement is made between you and Lyrinox Technologies Inc.

4. Seller Certification and Content Rights

By uploading any product, file, image, description, license text, or marketing material to the Platform, you certify and warrant that:

• You own or have obtained all rights, licenses, consents, and permissions needed to upload, list, sell, advertise, distribute, and support the product
• The product and listing materials do not infringe the intellectual property, privacy, publicity, contractual, or other rights of any third party
• The product description, screenshots, compatibility claims, support claims, and license terms are accurate and not misleading
• You have authority to grant buyers the license or access rights described in your listing
• You will not include secrets, credentials, private keys, malicious code, or third-party material you are not allowed to distribute

5. Prohibited Seller Content

You may not list, upload, sell, or distribute:

• Illegal content or content that violates applicable law
• Pirated software, stolen keys, cracked products, credential dumps, or unauthorized copies
• Malware, spyware, backdoors, credential harvesters, destructive code, or intentionally deceptive software
• Products that infringe intellectual property rights or falsely claim affiliation, endorsement, or certification
• Listings that materially misrepresent functionality, ownership, licensing, support, security, or compatibility

6. Fees, Payouts, Refunds, and Chargebacks

Lyrinox Market charges platform fees on completed sales and subscription payments. One-time purchase fees and subscription fees may use different rates. Current subscription platform fees are 5% for Low tier sellers, 2.5% for Medium tier sellers, and 1% for High tier or Top Seller accounts. One-time purchase fees are shown separately in the Seller Dashboard.

Fees may vary based on seller tier, seller score, marketplace programs, promotions, fee waivers, or other published rules. Stripe and other payment processing fees may apply separately. Refunds, disputes, chargebacks, taxes, fraud holds, or payment reversals may reduce or delay seller payouts.

Sellers cannot manually trigger marketplace payouts from Lyrinox Market. Seller payouts are intended to follow the marketplace payout policy: weekly payouts through Stripe Connect, scheduled for Sunday where supported by Stripe. Lyrinox Market may automatically check connected seller Stripe accounts and update accounts that are not on the required payout schedule.

7. Seller Score, Ranking, Top Seller, and Certification

Seller Score, ranking, visibility, marketplace placement, fee tiers, Top Seller eligibility, and certification eligibility may be influenced by sales history, support quality, customer feedback, refund and dispute rates, product quality, policy compliance, and other marketplace signals. We do not guarantee any particular ranking, score, certification status, or sales volume.

Top Seller status is reviewed by Lyrinox Market and may require sustained seller performance, including maintaining a High Seller Rank for the required period. A Top Seller may receive reduced platform fees while approved. We may review, deny, revoke, or adjust Top Seller status if the seller no longer qualifies or if marketplace risk changes.

8. Product Review, Drafts, and Listing Controls

Products may be saved as drafts, submitted for review, approved, rejected, delisted, archived, or otherwise moderated. Products may require manual review before publication because of price, security scan results, licensing settings, marketplace risk, policy concerns, or other review triggers.

We may review, reject, suspend, quarantine, delist, archive, or remove seller products that violate these Seller Terms, create user risk, trigger security concerns, generate excessive disputes, or otherwise harm buyers, sellers, or the Platform. If a product is removed, your marketplace license grant for that listing ends except as needed to preserve records, resolve disputes, support prior purchases or active subscriptions, comply with law, or enforce marketplace policies.

9. Licenses, Product Keys, SDKs, and API Access

If you use Lyrinox Market licensing, you are responsible for configuring license tiers, subscription options, activation limits, duration, IP locking, product versions, license terms, client keys, signing keys, and related product settings accurately. Buyers may receive product-specific license keys and product client key files as part of eligible downloads.

Lyrinox Market may generate, store, rotate, revoke, and manage product client keypairs, seller signing keys, license keys, account-license authorizations, and related records for marketplace licensing and distribution. Seller-managed keys and SDK downloads must be used only for products you are authorized to sell through Lyrinox Market.

Seller SDK downloads may be built with seller-specific tags or identifiers so Lyrinox Market can verify the build source, track license validation usage, detect abuse, and investigate piracy or unauthorized distribution. Native SDKs and platform integrations may report product ID, seller tag, integration user tag, build identifiers, request metadata, validation results, and related telemetry to the Platform.

API access is not automatic for ordinary accounts. Sellers may apply for API access, and admins may approve or reject access. Approved API keys are limited to the scopes granted to that account and may be revoked, rotated, throttled, suspended, or restricted if they are abused or create platform risk.

10. Open Source Projects

Open source listings must remain free to download through Lyrinox Market and must accurately identify the public source code URL, open source license, and public license file URL. You are responsible for obeying the declared open source license and keeping the listing current if the project changes.

Open source projects may opt into Lyrinox Market licensing for download records, updates, support workflows, hosted services, abuse prevention, or similar marketplace functions. You may not use Lyrinox Market licensing to override, narrow, or replace the rights granted by the declared open source license for the open source code itself.

If an open source project becomes closed source, source-unavailable, proprietary, or materially different from the license shown on the listing, you must update the listing before continuing to distribute it through Lyrinox Market. Failure to keep an open source listing accurate may result in delisting, removal, account restriction, or other marketplace action.

11. Versions, Archives, and Continuity

Sellers may manage product versions and major release lines. We may keep the latest version of each major version line available where technically and legally practical. Archived products may be included in the Lyrinox Continuity Program, meaning eligible buyers may continue to buy or download the archived product while being told that the product is considered finished software and may not receive further updates.

12. Seller Account Suspension, Bans, and Termination

We may suspend, ban, restrict, or terminate seller accounts for policy violations, fraud risk, prohibited content, intellectual property complaints, payment abuse, excessive disputes, security issues, or harmful behavior. Pending payouts may be held while we investigate suspected fraud, chargebacks, legal claims, or policy violations.

Seller-specific suspension affects seller privileges and may make products temporarily unpurchaseable while leaving the underlying user account available for buyer activity. Seller bans do not expire. Deleted seller profiles and products may be removed from active marketplace availability, subject to recordkeeping, dispute, legal, support, and prior-purchase obligations.
